2. Project Scope and Changes
A detailed scope is provided before work begins. Any revisions or additions to the scope must be agreed in writing and may affect timelines and fees.
3. Fees and Payment Terms
Fees are outlined in the project proposal or agreement.
A deposit (usually 50%) is required before work begins.
Final payments are due upon completion.
Late payments may incur interest or service suspension.

5. SMS / Mobile Messaging
a. Program Description
By providing your mobile phone number, you agree to receive SMS/MMS or similar automated mobile messages from Deyo Digital Limited regarding services, promotions, updates, alerts or other information you have opted in to receive. Consent is not a condition of purchase. Messaging frequency may vary.
b. Message & Data Rates
Message and data rates may apply when you receive SMS/MMS messages. These charges are billed by your mobile carrier in accordance with your plan. Deyo Digital is not responsible for any charges imposed by your carrier.
c. Carrier Liability & Delivery
Carriers are not liable for delayed or undelivered messages. Delivery of mobile messages depends on effective transmission from your wireless service provider/network operator and is outside the control of Deyo Digital.
d. Age Restriction & Eligibility
You affirm that you are at least 18 years of age (the age of majority in your jurisdiction) to participate in the SMS program. If you are under 18, you may not opt in or use the service without express permission from a parent or legal guardian where permitted by applicable law. By opting in, you represent and warrant that you are of legal age to consent to receive mobile messages.
e. Opt-In / Opt-Out
You may opt in to receive messages only if you provide explicit consent by submitting your mobile number and affirming that consent. You can opt out at any time by replying STOP to any SMS message from us to discontinue SMS communications. After opt-out, you may receive a one-time SMS confirming your opt-out status. For assistance, you may reply HELP or contact us via the Contact section below.
f. Privacy & Data Use
Our use of your mobile number and related information is subject to our Privacy Policy. We will not sell or share your mobile information for third-party marketing outside of the permitted disclosures in this Terms and the Privacy Policy.
g. Modification of Messaging Program
We may modify, suspend, or terminate the SMS program or these SMS terms at any time. Continued participation after changes signifies acceptance of the updated terms.
6. Intellectual Property Rights
Upon full payment, you own the final deliverables. We retain ownership of pre-existing intellectual property, code libraries, templates, or tools used in the project unless otherwise agreed in writing.
7. Confidentiality
Both parties agree to protect confidential information disclosed during the engagement.
8. Limitations of Liability
To the fullest extent permitted by law, Deyo Digital will not be liable for:
Loss of profits, data, or business due to service interruptions
Changes in third-party platforms, search engine algorithms, or technology
Any indirect, incidental, special or consequential damages
Our total liability will not exceed the amounts paid by you for the specific services provided.
9. Warranties and Disclaimers
All services are provided “as is,” and we make no guarantees regarding specific outcomes (e.g., rankings, revenue increases) unless explicitly stated in a contract.
10. Termination of Services
Either party may terminate with 14 days’ written notice. Upon termination, you will be invoiced for work performed up to that date. We reserve the right to suspend or terminate services for breach of these Terms or non-payment.
11. Governing Law
These Terms are governed by the laws of [Ontario/Canada]. Any disputes will be resolved in applicable courts within that jurisdiction.
